§ 1 Scope and General Provisions
(1) These Terms of Service ("ToS") govern all contracts concluded between Christopher Adels ("Provider") and users ("Customer" or "User") of the web-based software platform my-relaunch.com.
(2) Deviating, conflicting, or supplementary general terms and conditions of the Customer shall not become part of the contract unless their validity is expressly consented to in text form by the Provider.
§ 2 Service Scope & SaaS Delivery
(1) The Provider operates my-relaunch.com as a Software-as-a-Service (SaaS) solution providing specialized tools for planning, implementing, and monitoring website and web-application relaunches. The scope includes:
- Planning Hub: Requirements questionnaires, visual and hierarchical Dual Sitemaps, and low-fidelity Wireframe Editors.
- Production Hub: On-page staging helper scripts, visual feedback coordination, and AI coding prompt bridging (Cursor, Antigravity, Claude Code).
- Relaunch Hub: Comprehensive launch readiness checklists, automated headless test runners, and exportable launch approval reports.
- Live Hub: Post-launch monitoring for HTTP status codes, 301 redirect regressions, and response times.
(2) The Provider provides access to the software at the router exit point of the hosting data center. The Customer is responsible for their own internet connection and client hardware.
§ 3 User Accounts & Access Credentials
(1) Full utilization of the platform requires the creation of a user account. The Customer must provide accurate and complete information during registration.
(2) The Customer is obligated to protect their access credentials against unauthorized third-party access and notify the Provider immediately in case of suspicion of misuse.
§ 4 Subscriptions, Pricing & Payment Terms
(1) Subscriptions (Starter, Basic, Pro, or custom plans) are billed on either a monthly or annual basis as selected by the Customer during checkout.
(2) All prices quoted on the website are net prices plus statutory value-added tax (VAT) where applicable, unless explicitly labeled otherwise.
(3) Invoices are payable immediately upon issuance via the provided electronic payment methods (e.g. credit card, SEPA, Stripe).
§ 5 Availability & Maintenance
(1) The Provider endeavors to ensure an average annual system availability of 99.0% for the SaaS infrastructure, excluding scheduled maintenance windows and circumstances beyond the Provider's reasonable control (force majeure).
(2) Routine maintenance operations are performed during low-traffic periods whenever feasible.
§ 6 Intellectual Property & License Scope
(1) The Customer receives a simple, non-exclusive, non-transferable right to access and use the platform via a web browser for the duration of the subscription agreement.
(2) All rights to user-generated project contents, custom wireframe structures, sitemaps, and audit notes remain with the Customer.
§ 7 Limitation of Liability
(1) The Provider is liable without limitation for willful intent and gross negligence, as well as for damages resulting from injury to life, body, or health.
(2) In cases of slight negligence, the Provider is liable only for breach of material contractual obligations (cardinal duties), limited to typically foreseeable damages at the time of contract conclusion.
§ 8 Term & Termination
(1) Monthly subscription plans may be cancelled at any time effective at the end of the current monthly billing period. Annual subscriptions may be cancelled with 14 days' notice prior to the expiration of the current annual term.
(2) The right of both parties to terminate for extraordinary cause remains unaffected.
§ 9 Final Provisions & Jurisdiction
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If the Customer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from this contract is Cologne (Köln), Germany.
